Constituition of
Rajasthan Orthopaedic Surgeon Association
(ROSA)
WHEREAS the following persons in its meeting held on 30.07.2002 has
decided to form an association in the name of Rajasthan Orthopaedic
Surgeon Association for the development of medical science specially
in the field of Orthopaedic:

Dr. M.M. Bafna
Dr. Trilok Gupta
Dr. Mahesh Bansal
Dr. R.K. Verma
Dr. P. Patni
AND WHEREAS the name, objective and other terms & conditions of
association shall be as under:
1. The Name: The name of the Association shall be "Rajasthan
Orthopaedic Surgeon Association", affiliated as Rajasthan Chapter of
India Orthopaedioc Association. However the trust may also be known as
by its short name viz. "ROSA"
2. Area of Operation: The area of operation of this association will
be the whole of In dia but preferably in the state of rajasthan
3. Head Quarter :The permanent head quarter of ROSA shall be suited
orthopedic department,SMS medical College and Hospital,Jaipur.It may
be changed to any place as thw executive committee may decide.The
association may open branches or local offices at different place
within the area of operation.
4. Effective Date:Activities underthis constitution commenced w.e.f 1.8.2002..
5. Objects:
(a)To get ROSA affiliated as a branch of IOA (Indian orthopedic
association)and member of zonal orthopedic association .
b)To organize seminars,symposium,workshop and conference,in orthopedic
,allied medical science from time to time.
c)To guide assist and promote the art and science of orthopedic
surgeryand rehabilitation.
d)To provide the forum for academic discussions & continuing
medicaleducation for its members.
e) To promote the forum for the unity and fellowshipof orthopedic
surgeons in the state .To discussed and find solutionand to get
redressed the various problemsof orthopedic surgeons in the state and
to provide a united front to represent them at govt. level dealings.
f)To do all academic ,and other actrivities congenialand conducive to
all and to fulfill the objectives of IOA and for promotion of its
speciality in the social awareness.
h)To produce documentary films and cassesttes onmmedical education
and social awareness.
i)To investigate or do orthopedic medical science and for this to
establish a mini academyor research center to carry out any one or
more to the above mentioned objects.
j)To carry out the programmes ,plays etc for public awareness of
various diseases and their preventive measures.
k)To hold medical camps for general pulic.
l)TO do all academic and other activities ,as are conduciveand helpful
to advancementand fulfillment of the principal and other objects above
mentioned.
6.)MEMBERSHIP: The membership of
ROSA shall be open for
A)
i)All doctors having P.G degree or diploma in orthopedics and practicing
orthopedic surgery in the state of rajashan.
ii)Eminent person who may agree to be patron or Hon. Life fellowat the
request of ROSA considering hos contribution to orthopedics and
rehabilitation of the physically handicapped.
B)
i)
Life membership:anyone qualifying to become member of rosa as
stipulated in article(4)(a)(i) become a member for life on payment of
fee prescribed by executive committee from time to time.
ii)The residents and members doing thePG shall also become life members
of rosa but will only have voting rights after obtaining their
required PF qualification as in article (4)(a)(i).
7.Dues AND DUE DATE:
i) The membership fee of rosa will be prescribed by executive committee from time
to time.
ii)All dues and the life membership or annual membership will be paid to
HON. SECRETARY/Treasurer of ROSA.
iii)A person who fails to pay the membership fee within three months from
the close of financial year shall cease to be the member of
association,unless the executive committee condones the delay in
payment.
8)Financial Year: The financial
shall be from 1st April to 31st March.
9. The office bearers of ROSA
The ROSA wil have the following office bearers:
1.President
2.Vice President
3.Hon Secretary
4. Treasurer
10)Duties and Power of the office bearers
:
A)The President
ROSA shall have a president elected by its general body in its Annual meeting from
among the members of the ROSA.
B)He shall have supervision and control over the office bearersof the
ROSA and executive committee in the discharges of their respective
duties and also over working of the ROSA in general
C)He shall preside over the general body and the executive comittee or
any sub comittee
,on short notice under his signature if the secretary fails to do so
on instruction by him.
D)He shall have the power to delegate any of hos powers as the president
to the vice president.
2)The Vice President:
(A)The ROSA shall have a vice president who shall be elected by the
general body in its annual meeting from among the members of ROSA.
(B)In the absence of the President , the vice President shall be
responsible to carry out the routine responsibilities of the President
3)Hon Secretary
A) There shall be a Hon Secretary
For the Rosa who shall be elected by its general body in its annual
general meeting from among the members of the ROSA. He shall hold
office for 2 years & will be eligible for re election.
B) He shall be custodian of all records and all movable and immovable
properties of the ROSA and shall maintain an inventory of such
properties,if any.
C)He shall administer and execute all routine activities of the ROSA
whenever required.
D)He shall convene all meetings of the general body and the executive
committee ,under his own signature.
E)
He shall record and maintain the minutes of all the meeting for
approval in the next executive meeting.
F)He shall receive all the dues payble to the ROSA and hand it over to
treasurer ,to be deposited in the bank account of ROSA
G)He shall prepare and present the report of of the activities of the ROSA annually
and present the same in the executive committee for approval and present it before
the annual general body meeting.
H)He shall execute all such other acts and perform execute all such
other duties required to attain objectives of the ROSA and also
execute special responsibilities if any assigned to him by the
president executive committee and or the general body of the ROSA.
a)The secretary shall keep the ROSA head quarter informed of all the
correspondencerelated to ROSA from time to time .
b)He will take stepsfor registration of ROSA as registered body
3)TREASURER
a) He shall ereecieve all dues of ROSA paid to hom direct & paid
through the Hon Secretary
b) He shall maintain the income and expenditure account of ROSA
c)He shall honour the bills and vouchers passed by the Hon
Secretary,related to the expenditure incurred on behalf of the ROSA
and make the payments.
d) He shall prepare the statement of account of the ROSA annually and
present the same before the executive committee after proper audit to
submit before the annual general body meeting for its approval.
e) He shall be nominated by the president.

The General body constitution ,duties and powers
The General body of ROSA shall consists of:
a)The patrons of ROSA
b)The life members of ROSA
c)the office bearers of ROSA
2)Duties and powers of general body
a)The general body shall formulate policies regarding the work of
ROSA,in general aimed at attaing the objectives of ROSA.
b) It shall elect the office bearers and the members of executive committee for
a period of two years in its annual meeting.
c)It shall have the powers to appoint committee or sub committee for specific purpose
and for specific period.
d)It shall have the powers to delegate any of its powers or
responsibilities any or group of office or committee or sub committee
constituted by it.
e)
It shall have the powers to call for its reports of such committee and
to take appropriate action on such reports.
f)It shall have the powers to seek explanation from any of its
members,office ,office bearer of the members of the respective
committee
g)It shall have the powers to take the disciplinary action on any of its
members based on their action which was found detrimental to the
attainmen t of the objective of the ROSA
h)It shall consider the annual audited statement of accounts presented
by the treasurer,as adopted by the executive commit.
i)It shall act as an appellate authority to hear and to take final
decision on an appeal if any received on action taken by the executive
committee.
j)General body shall be the supreme body of ROSA to take any decision
on matter connected with the organizationand execution of its duties
any responsibilities to explan and interpret any rule laid down in the
constitution ,or any other point that is not covered by this
constitution.
12.THE EXECUTIVE COMMITTEE
Constitution power and responsibilities.
a) The executive committee shall consists of the office bearers of ROSA
b)It shall have the powers to delegate specific responsibilies and
powers to any members of office berarers for specific period.
c)It shall have the powers to acceopt or reject applications and powers
to any member of office bearers for specific period.
d)It shall have the powers to accept applications for membership of the
ROSA ,inall the categories subject to the rules laid down under this
constitution,enrolment in any general body in its next meeting for
rectification.
d)It shall have the powers to appoint sub committee for specific purpose for specific
period.
e)It shall have the powers to coopt a maximum of three members of the
ROSA as its members over and above those elected by the general body
for specific meeting.
f)It shall finalize and approve the annual report and audited statement
of accounts before it is being presented before the general body.
g)It shall have the powers to fill up the vacancies arising if any among
the elected ofr co opted members of executive committee by co opting
from among the members of ROSA for the remaining period of the term
h)It shall have the powers to take the disciplinary action on any
members of the ROSA or its office bearer subject to rectification by
the next general body meeting
i)It shall have to do any such activity as in the best interest of the
objective of association.
13.Term Of the office bearers and
members of executive committee shall be for two year and they are eligible for re
election
14.
MEETING
1)The general body meeting
a)
The general body meeting of the ROSA shall be held at least once in a year
b)The annual general body meeting of the ROSA shall be held at the time
and venue of the Annual Conference every yeary year at the end of
first day of conference.if by any chance the annual conference of ROSA
could not take place within six months after completion of one year
after the previous conference ,the annual general body meeting shall
be convinced at Head quarter by the President or Hon Secretary giving
due notice
c)Thirty days notice shall be served for the general body
meetings.However special meeting of the general body may be convened
with 15 days notice by the presidentunder his own signature
2.The executive committee meeting
a) The executive committee meeting Shall meet prior to every general body meeting
at same venue
b)The executive Committee may meet any number of times as required to
transact important business .Normally the meeting of Executive
Committee shall be held at Head Quarters of ROSA
c)Seven days notice shall be served for the meetings of the executive committee.
Emergency meeting of the executive committee can be
(All meetings of the general body and The executive committee meeting
Shall normally be convened by the Hon Secretary giving due notice
exept the emergency meetings when shall be convened by the president
under his signature.The Hon Secreatry shall maintain the records of
all such meeting properly.)
15)Quorum
a)The quorum of the general body meeting of the ROSA shall be 25% of
total paid members of 15 active members whichever is lower
b)The quorum for the executive committee shall be three in which atleast
one shall be the office bearers viz.hon Secretary ,Hon .Treasurer
c)If there is no quorum for the meeting of the general body or executive
committee the same shall adjorned for half hour from the schedule
time.For the adjourned meetib\ng those present shall constitute the
quorum when the meeting reassambles after the stipulated period
ofadjournment.
16.Voting
a)Every member attending the meeting of executive committee or general
body ,eligible to vote as per the constitution shall have one vote in
that meeting.
b)
Hon. Life followers shall not be eligible to votw in any meeting of
the ROSA in that capacity
c)The patron shall have no voting right
d)Members of the executive committee including the ex office members
shall have the right to vote in the meeting of the executive committee
e)Co-opted members shall have no voting rights.
f)The chairman in any any meeting shall have the casting vote in the
event of a tie
g)The secretary will decide the programme of election & will invite the
nomination for the vice President and
secretary shall be received by the secretary in office 15 days prior
to the annual conference.If the secretary fails to call for
nominations the general; body may elect the vice president and
secretary after calling for nominations during the annual conference
in which the elections are due.
17)Indemnity:
Any member or an office bearer to the ROSA shall be indemnified to all
liabilities which may occur during his normal discharge to duties in
the respective capacity or in the general body or executive committee
of the president of ROSA save those which are provide to have caused
by his will full negligence
18)Books Of Accounts:
The association shall keep and maintain proper and regular books of
accounts and shall get the accounts audited bya duly qualified auditor
and the audited annual balance sheet and income & expenditure account
or receipt or payment account shall be finally approved in the general
body meeting.
19)Bank Accounts
All accounts in the bank shall be maintained in the name of the
association and will be maintained by two of any office bearer viz
President ,Hon Secretary and the association or body associated with
the association ,thebank account may be opened in the name of said
committee or body ,under the authority of executive committee which
shall be operated by not less then two members of said sub committee
,association or body duly authorized by the executive committee
20)Rules and Regulations:
a)The general body shall have the power from time to time to frame the
rules and regulations as they may think fit and proper for
administration and carrying in to effect the provisions of this
association and to provide for the management of trust fund and also
from time to time alter any such rules or regulations as framed or
subsequently amened shall in any manner be inconsistently with any of
te provisions of this associations.
21)Amendments:
Amendments to this constitution can be made only by the general body
of the ROSA and the same stand amended only if such proposal for
specific amendment is voted in its favours by two third of the members
but not less then 25 members present and having voting rights proposal
if any such amendments shall be circulateamong with the notice of the
general body or earlier to it.So that the members may be able to study
the same.
22)Dissolution:
In the event of dissolution of the ROSA at any time ,all movable and
immovable properties and other assets owned by it,after clearing all
its liabilities shall be handed over to the IOA with an understanding
that the same shall be used for the similar objectives as that of ROSA
,as envisaged in the constitution.

HANDS THE DAY AND YEAR FIRST HERE IN ABOVE WRITTEN.
